PRODUCT USE LIMITATION

BEFORE OPENING OR USING CANCELL (the « PRODUCT »), PLEASE READ THE TERMS AND CONDITIONS SET FORTH IN THIS PRODUCT USE LIMITATION. YOUR USE OF THE PRODUCT (AS DEFINED BELOW) CONSTITUTES ACKNOWLEDGEMENT AND ACCEPTANCE OF THE PRODUCT USE LIMITATION.

1. INTELLECTUAL PROPERTY.

The Product has been developed with the use of the technology covered by US Patents #8,450,471, # 8,450,431, # 8,440,432 and pending patents of the patents family WO 2011072246, owned by the University of Minnesota and the University of Iowa, exclusively licensed to Cellectis Group,

The Product has been developed from American Type Culture Collection (ATCC) biological material, which ATCC’s catalog number are ATCC® CCL-185™, ATCC® CCL-221™, ATCC® CCL-247™. The ATCC trademark and trade name and any and all ATCC catalog numbers are trademarks of the American Type Culture Collection.

2. FIELD OF USE.

The Product and its derivatives shall be used for RESEARCH and COMPOUNDS TESTING use only and shall not be used in (i) plant and (ii) pigs, cattle, and sheep (the « Fied of Use »).

“Research” means the generation of knowledge regarding natural biological mechanisms, as well as functions of genes, mechanism of action studies and/or target validation. “Compounds Testing” means the test of less than 10, 000 compounds in performing the Research activity.

The Field of Use excludes without limitation (a) commercial activities (which means the sale, license, lease, export, transfer or other distribution of the Product to a person or entity for financial gain or other commercial purposes and/or the use of the Product: (i) to provide a service to a person or entity for financial gain; (ii) to produce or manufacture products and/or data for general sale or products and/or data for use in the manufacture of products ultimately intended for general sale; or (iii) in connection with proficiency testing service(s), including but not limited to, providing the service of determining laboratory performance by means of comparing and evaluating calibrations or tests on the same or similar items or materials in accordance with predetermined conditions) ; (b) Drug Discovery (i.e. the screening, the identification, the selection and the profiling of molecule with the use of a Product); (c) production of chemical and /or biological entities (such as but not limited to proteins or monoclonal antibodies); (d) modification of the features of a biological entity (such as, but not limited to, fucosylation, glycosylation, humanization); (e) diagnostic, therapeutic and/or prophylactic treatment of humans or animals; (f) use of the Product and/or its derivatives as therapeutic or diagnostic product.

All or part of the Product shall not be used for consumption by or use in connection with or administration or application to humans. All or part of the Product shall not be reproduced, modified, reverse engineered. The use of the Product and its derivatives is internal and personal to the Customer and cannot be transferred or sold to any third party.

3. LICENSES.

Any use of the Product and its derivatives outside of the Field of Use require a separate license agreement from Cellectis bioresearch or its affiliates companies and in the relevant case from ATCC.
